When should we engage you in a potential transaction?

Earlier rather than later. The work that precedes a process — clarifying the objective, preparing the business for diligence, structuring decisions that affect tax outcomes, addressing any presentational issues in the financial information — is the work that most materially affects the outcome. An exploratory conversation, well in advance of any committed move, costs nothing and frequently shapes everything that follows.

Do you act on the buy side?

Yes. We act on acquisitions, including management buy-ins and corporate acquirers expanding through M&A. The buy-side work covers identification, valuation, structuring, negotiation, financial and tax diligence and completion. The experience of working both sides of the table makes us more effective on each.

How do you approach valuation?

Through a combination of earnings multiples, discounted cash flow analysis, net asset and entry-cost approaches, triangulated and weighted to the situation. For litigation and dispute contexts, our forensic team takes the lead with the additional procedural rigour those settings require.
